Welcome to the Contender.com online buying and selling community (the "Site"). This User Agreement ("Agreement") lists the terms of the agreement between you and Contender.com for the buying and selling of tickets, and all other services that Contender.com provides (the "Services"). These terms and conditions, along with any other policies or guidelines posted on this web site, shall govern your use of this Site. Please read the terms and conditions carefully before making an offer or listing tickets for sale. Buy using this Site and/or by placing a ticket offer or listing tickets for sale on this Site, you are agreeing to the following:

If Contender.com changes this Agreement, Contender.com shall post a revised version of this Agreement here, which shall automatically replace the terms of this Agreement. Your continued use of the Site and the Services following Contender.com posting of a revised Agreement will constitute your acceptance of the revised Agreement. If you do not agree with the terms of this Agreement or any revised version of this Agreement, do not continue to use the Services or this Site.

SERVICES PROVIDED BY CONTENDER.COM

Contender.com is a safe and secure online ticket resale marketplace for buyers and sellers. Listings are open to fans, established ticket suppliers as well as professional ticket brokers. The tickets offered through Contender.com are owned, listed for sale and fulfilled by the party listing the ticket (not necessarily Contender.com). Prices are determined by offers made by buyers and accepted by sellers, reflecting the true current market demand of the tickets. Dependent on demand, tickets may be purchased at a substantially higher or lower cost than the price printed on any ticket.

REQUIREMENTS FOR USE OF CONTENDER.COM

Every user is required to have an email address and password to list, sell, make offers and purchase tickets or related passes using Contender.com. Users are solely responsible for maintaining the security of their email address and password and for all activity that occurs under their email address and password. Users should never disclose passwords to anyone other than themselves. Users must have a valid credit card, debit card, or PayPal account ('Payment Method') on file with us. Users are responsible for ensuring that all elements of their contact information, including their email address, mailing address, phone number, and Payment Method on file with us are accurate and current. You may use the Site to list, sell, or purchase tickets or related passes only if you're able to form legally binding contracts, are over the age of 18, and aren't temporarily or indefinitely suspended from using the Site.

CONTENDER.COM SELLER AGREEMENT

By selling your tickets on Contender.com, you accept liability for your listing and unconditionally agree to the following:

The tickets or passes you list for sale on Contender.com are for the exact section, row, and seat numbers for the exact event, show date, and time listed on the site. In the event you accept an offer and send tickets or passes that do not match the information provided in your listing, you will be contacted by a representative from Contender.com or from the Buyer directly, and will be given the opportunity to send the correct tickets if there are more than 3 days until the show date. In the event you cannot send the correct tickets, you will be required to refund the buyer immediately. Additionally, Contender.com reserves the right to charge your credit card on file up to 200% or replacement value of the of the ticket price (whichever is greater) to remedy the buyer. Users may edit their ticket listing at any time, provided there is no current pending offer or a pending sale. When a Seller accepts an offer on Contender.com, either directly on the Site or by completing a phone order, the Seller is entering into a binding contract with the Buyer to sell those tickets or related passes.

In Hand and Expected Delivery Dates. You agree to provide correct and accurate delivery information about the tickets or related passes you list on the Site, including whether the tickets or related passes are in your physical possession ('In Hand') and, if not in your physical possession ('Not In Hand'), when you will be able to send them ('Expected Delivery Date') if they sell. You're responsible for fulfilling the sale of your tickets or related passes with the exact tickets or related passes you listed on the Site on or before the Expected Delivery Date. If your tickets or related passes haven't sold and the Expected Delivery Date changes, you may change the Expected Delivery Date without penalty.

Event Cancellations. If an event is cancelled, we will remove the event and listings related to the event from the site. If you sold tickets to an event that is cancelled, we'll cancel the sale and you are required to refund the buyer in full (minus shipping charges).

Event Postponement. If you sold tickets to an event that is postponed or rescheduled, you aren't permitted to resell those tickets or related passes or in any way invalidate or change a ticket or related pass you sold to the postponed or rescheduled event. If you do, you must refund the buyer in full, including shipping charges. Contender.com reserves the right to charge your credit card on file up to 200% or current replacement value of the ticket price (whichever is greater) to remedy the buyer.

CONTENDER.COM BUYER AGREEMENT

When a Buyer places an offer on Contender.com, either directly on the Site or by completing a phone order, the Buyer is entering into a binding contract with the Seller to purchase those tickets or related passes. At the time the order is placed, we obtain an authorization from the Buyer's Payment Method for the price of the tickets or related passes, fees and any taxes, when identified, (the 'Total'). If the Seller accepts the offer, the charge for the Total will be applied to the Payment Method immediately. The Total is remitted to the ticket seller, and the shipping fee remitted to Contender.com. Although an authorization is not a charge, credit card and debit card issuers may place a hold on funds when we obtain an authorization. Please contact your financial institution to better understand their policies. In all cases, we are not responsible for any bank fees or other penalties resulting from authorizations and/or charges to the Buyer's Payment Method when the Buyer places orders.

Please inspect your tickets carefully. If your tickets are not in the exact seat location as listed on Contender.com, for the correct event and time, please contact Contender.com Support immediately at (888) 326 – 7365. If Contender.com determines that you did not receive identical tickets in accordance with the parameters set forth above, Contender.com will work with your ticket seller to have the proper tickets delivered in the time of the event. In the event the identical tickets cannot be delivered in time for the event, the Seller will provide you with a full refund and Contender.com will help find suitable replacement tickets.

If tickets are invalid or not honored by the venue, please contact Contender.com Support immediately at (888) 326 – 7365. Contender.com will work with your ticket seller to determine the issue and will attempt to deliver valid tickets before show time. In the event the Seller cannot provide the Buyer with valid tickets, the Seller must refund the Buyer in full, and Contender.com will work with the Buyer to find suitable replacement tickets. The Buyer may decline the offer of replacement tickets and must provide the seller with a scan report or letter from the venue certifying that the tickets were invalid.

If an event is cancelled for any reason other than an act of God (rainout, earthquake, flood, etc.), war, terrorism, strike, or lockout, the Seller agrees to provide a full refund for the amount that the Buyer paid for the tickets. Shipping charges are not refundable. The tickets must be received by the Seller within 14 days of the announcement of the event cancellation. Contender.com suggests returning tickets via certified mail or using a carrier that can provide you with proof of delivery. In case of a rainout or strike for a sporting event, no refunds will be made. Contender.com will attempt to contact you with further instructions in these instances. If you have not heard from Contender.com within 48 hours of the announcement, please contact Contender.com at helpme@contender.com or by phone at 1-888-326-7365.

If an event is postponed or rescheduled, the tickets will be honored for the rescheduled event date. There will not be a need to issue new tickets for most rescheduled events or postponements. As the Seller is not able to recover its costs on the tickets that its sellers acquire for you, Contender.com in turn is unable to offer customers refunds on postponed or rescheduled events.

In the case that an event is relocated to a different venue, tickets for the new venue will be provided if necessary and a refund will not generally be given. Exact refund and exchange policies are determined on a show-by-show basis by the venues and performers. If seating is not available at the new venue a refund will be offered.

MAKING AND ACCEPTING OFFERS REFLECT THE PRICE OF THE TICKET

The price you pay may be substantially higher or lower than the face value price printed on the tickets. Tickets listed on Contender.com are owned and supplied by numerous fans, professional ticket suppliers and brokers. As the sales price is determined by offers made by buyers and accepted by sellers, it will in most cases differ from the actual price printed on the ticket. The market value price for a ticket is quite volatile, determined by many factors including seat location, supply and demand, date and location of event, etc. You hereby agree to and understand this.

RETURNS

There are no refunds, exchanges, or cancellations on any request once an offer is accepted. This policy is in place because once you make your ticket offer, sellers rely on such offer to secure and acquire those tickets for you from a ticket supplier and are generally not able to recover their cost. Please only make a standing offer after you are certain you want the tickets.

PRICES & SEATING

All prices are listed in U.S. Dollars (USD). Due to the large number of tickets sellers who post tickets for sale on the Site, Contender.com cannot be responsible for any typographical or system errors within the inventory listed for sale. If Contender.com or the Seller finds this type of error while processing your order, you will be notified immediately and given the choice of either a full refund, or, if available, suitable replacement tickets at no additional cost. If the tickets you requested are not available after the Seller accepts your offer and confirms your order, you will be notified immediately and given the choice of either a full refund, or, if available, suitable replacement tickets at no additional cost. Please check your tickets carefully once they arrive. If it is less than three days until the event date and you have not received your tickets, or if you have questions regarding the tickets you received, please contact customer service at helpme@contender.com or by phone at 1-888-326-7365. If you have not received confirmation from Contender.com that your ticket request has been finalized, you should not assume that your ticket request will be able to be fulfilled. Please note that email notification that the Seller is in receipt of your ticket offer is not an order confirmation that your ticket request has been finalized.

PROCESSING YOUR ORDER AND CONFIRMATION

Immediately after you submit your offer for tickets, you will receive an email from Contender.com notifying you that the Seller has received your request. You will pre-authorize your (Payment Method) for the amount of your offer. You will never be charged more than this amount. This does not confirm ticket availability. It only indicates that the Seller has received your offer for those tickets. If your offer is accepted, both you and the Seller will receive an email confirmation of the terms of purchase and sale. Your payment method will be charged and funds will be distributed to the Seller. Your order may be finalized even if you do not receive an order confirmation, finalized invoice or an updated status email from Contender.com. An accepted offer is a legally binding agreement between the Buyer and the Seller, and both parties are subject to the terms of the Contender.com Buyer Agreement and Contender.com Seller Agreement as stipulated above.

If you have been charged but have not received an email confirmation from Contender.com, please contact customer service at helpme@contender.com or by phone at 1-888-326-7365 to check on your order. Never make an assumption about the status of your order because you have not been contacted by Contender.com. You may not cancel an order due to problems with receipt of emails.

CREDIT CARD PURCHASES

Please note that purchases by credit card do not grant any variances from Contender.com Terms and Conditions. You are still responsible for complying with our Terms and Conditions. Any attempts to defraud Contender.com may result in legal and criminal action brought against you.

The payment method on file will be charged in accordance with the Processing Your Order and Confirmation section.

EVENT DATES AND TIMES

Event dates and times printed on the face of the tickets, or in any correspondence from Contender.com, are always subject to change. This is especially true for sporting events that are subject to television scheduling conflicts. It is your responsibility to check for any possible changes in date and time. You may check with your local media or contact customer service at helpme@contender.com or by phone at 1-888-326-7365 to ensure that you arrive at the event on the correct date and at the correct time. You agree that Contender.com is not responsible for changes in date or time of the event, and that refunds will not be issued due to event dates or times being changed.

TICKET DELIVERY

All tickets shipped will be done so via Federal Express delivery service (Standard Overnight, 2 Day, or Express Saver) and will require a signature. Contender.com uses Federal Express delivery services requiring signature to ensure that your tickets arrive safely and that their location can be tracked at any time. It is your responsibility to track your package and to be available to accept the package. You agree to provide Contender.com with a secure delivery location that matches the billing address of your credit card (No P.O. Boxes) and authorize someone at that address to act as your agent in your absence to accept delivery of the package. If you provide a delivery location other than your credit card billing location, you hereby specifically agree to be responsible for that delivery and the tickets once delivered to the address you specify. You agree not to dispute such charges. Your expected ticket arrival date is based on the actual date Contender.com ships the order.

Please note that refusal of the package does not constitute refusal of payment. You hereby agree that you are responsible for all ordered tickets where an attempt has been made to deliver them or make them available to you. You hereby agree you are responsible for all ordered tickets even if you attempt to return them. If for any reason your tickets are returned to Contender.com, Contender.com will try to contact you to arrange for another delivery attempt at your expense.

If your tickets are being delivered via email, a link to print your tickets will be sent to the email address you provided once your tickets are confirmed by the seller.

LOST OR STOLEN TICKETS

Please treat your tickets as cash. When you receive your tickets keep them in a safe place. Unfortunately, tickets cannot be replaced if they are lost, stolen, or damaged. Please note that direct sunlight and heat can damage some tickets.

TRANSLATION POLICY

In the event that any statement in any translated version of this Site conflicts with the English version, the statement in the English version shall prevail.

LIMITATIONS OF LIABILITY

Contender.com is not responsible for providing transportation or reimbursement of travel-related expenses under any circumstances unless those items are specifically included as part of a package. In addition, Contender.com is not responsible for any delay causing you to arrive late or miss your event for any reason. Any actions by Contender.com that do result in you missing your event will be rectified with Contender.com liability not exceeding 100% of your total purchase price. Contender.com is not responsible for the conditions or the actions of the crowd at any event nor is Contender.com responsible for any changes made at the venue including, but not limited to, seating arrangements, stage set-up, or venue conditions. If someone is sitting in your assigned seat, it is your responsibility to ask them to move or to ask an usher to assist you.

IN NO EVENT WILL Contender.com BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVNUES OR BUSINESS OPPORTUNITIES, EVEN IF Contender.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UNAUTHORIZED USE OF THE SITE

Any Illegal or unauthorized use of the Site shall constitute a violation of these Terms of Use. You do not have permission to access the Site in any way that violates, directly or indirectly, these Terms of Use. Illegal or unauthorized use of the Site includes, but is not limited to, using the Site to facilitate illegal ticket sales, unauthorized framing of or linking to the Site, or unauthorized use of any robot, spider or other automated process on the Site.

DISPUTES

If you have a dispute and your dispute involves an event (or a ticket for an event) that is located in the United States, then the dispute will be governed by the laws of the State of California without regard to its conflict of law provisions and you consent to personal jurisdiction, and agree to bring all actions, exclusively in state and federal courts located in Los Angeles County, California. If you have a dispute and your dispute involves an event (or a ticket for an event) that is located in Canada, then the dispute will be governed by the laws of the Province of Ontario without regard to its conflict of law provisions and you consent to personal jurisdiction, and agree to bring all actions, exclusively in courts located in Toronto, Ontario. If you have a dispute regarding the Site but not regarding an event (and not regarding a ticket for an event), then: (a) if you are accessing the Site from the United States or any country other than Canada, then the dispute will be governed by the laws of the State of California without regard to its conflict of law provisions and you consent to personal jurisdiction, and agree to bring all actions, exclusively in state and federal courts located in Los Angeles County, California; and (b) if you are accessing the Site from Canada, then the dispute will be governed by the laws of the Province of Ontario without regard to its conflict of law provisions and you consent to personal jurisdiction, and agree to bring all actions, exclusively in courts located in Toronto, Ontario.

INDEMNITY

You agree to indemnify and hold Contender.com and its officers, agents, employees, contractors and principals, harmless from any loss, liability, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Site, including also your use of the Site to provide a link to another site or to upload content or other information to the Site.
